This Offer from Individual Entrepreneur DENIS BURKOV, hereinafter referred to as the ‘Operator’, who operates the website https://aegisvpn.me/, addressed to the user of the website, hereinafter referred to as the ‘User’, is an offer to enter into a licensing agreement regarding the right to use the AegisVPN software product and defines the main terms of use of the specified software product via the website available at https://aegisvpn.me/. The User, acting to obtain the right to use the AegisVPN software product, accepts the terms of this Public Offer on the following conditions.

1. DEFINITIONS

1.1. Public offer (hereinafter – Offer) - a public proposal by the Operator, addressed to an indefinite number of persons, to enter into a licensing agreement with the Operator remotely (hereinafter – ‘Agreement’) under the terms contained in this Offer, including all Appendices.

1.2. License – the scope of methods and terms of use of the AegisVPN software product, provided to the User based on their choice of one of the tariffs and its payment. Payment for the License constitutes full and unconditional acceptance by the User of this Offer.

1.3. Tariffs – pricing system for the License.

1.4. User – an individual who has expressed their agreement with the terms of this Offer and is interested in obtaining the right to use the AegisVPN software product under the terms outlined in the Offer.

2. GENERAL PROVISIONS

2.1. The Operator grants the User a non-exclusive right to use the software product under the terms of a specific License described in the Tariffs, for a fee paid by the user through payment methods available on the website https://aegisvpn.me/. Payment for the License confirms the User's agreement to conclude this Agreement (acceptance of the offer).

2.2. By entering into the Agreement, the User confirms the following:

a) The User is fully aware of and agrees with the terms of the Offer;

b) The User gives consent to the collection, processing, and transfer of personal data under the conditions specified in the Privacy Policy posted on the website https://aegisvpn.me/.

2.3. The provisions of the Offer apply in the relationship between the Operator and the User, starting from the moment the User begins using the website and pays for the License. The Operator may at any time unilaterally modify this Public Offer without prior agreement with the User. New terms for previously concluded agreements with the User take effect from the moment the User pays for the new License, including in the case of payment for a new License via the recurring payment system.

2.4. The Operator may also unilaterally change the scope of rights and methods of using the AegisVPN software product provided under a specific License and Tariff. For the User who has paid for the respective License, such rules will take effect only from the moment the User pays for the new License, including in the case of payment for a new License via the recurring payment system.

3. LICENSE FEE

3.1. The amount of the licensing fee for the right to use the AegisVPN software product is specified on the website https://aegisvpn.me/ in the Pricing section.

3.2. The Operator has the right to unilaterally change the licensing fee amount specified in the Pricing for any Tariff.

3.3. The Operator may not change the licensing fee amount for an already paid License. Upon expiration of the current License, the User must pay the licensing fee in effect at the time of such payment to continue using the License for the new term.

3.4. The User's payment obligations for the License are considered fulfilled from the moment the Operator receives the full payment in accordance with the Pricing.

3.5. Payments between the Operator and the User for the licensing fee for the right to use the AegisVPN software product are made using methods specified on the website https://aegisvpn.me/.

3.6. By paying for the License, the User also confirms their acquaintance with the Agreement on joining the recurring payment system and agrees to pay the licensing fee for the right to use the AegisVPN software product through automatic deductions from the User's Bank card in favor of the Operator.

4. LICENSE ISSUANCE

4.1. The selection of a suitable License for the User is made through the website https://aegisvpn.me/ or by sending an invoice to the client's email.

4.2. When selecting a suitable License for the User on the website https://aegisvpn.me/, the User agrees to provide an email address.

4.3. If the Operator requires additional information, they have the right to request it from the User. If the User fails to provide the required information, the Operator is not responsible for any delay in issuing the License or for the User's inability to use the License.

4.4. The User is responsible for the accuracy of the information provided when submitting the License.

4.5. The agreement between the Operator and the User is considered concluded from the moment the User pays the licensing fee for the chosen License.

4.6. If the User did not use the 'Cancel Subscription' form on the website https://aegisvpn.me/, the term of the License granted to the User will be extended for the same period upon expiration of the initial License term, according to the terms specified in the Pricing section on the website https://aegisvpn.me/ on the date of such extension (auto-renewal of the License).

5. LICENSE

5.1. The License includes a certain scope of rights and methods for the User to use the AegisVPN software product, which the User is entitled to use during a specified period.

5.2. The License is considered granted to the User for the term specified in the License from the moment the User pays the licensing fee for the License, which is confirmed by the data from the User's personal Account on the website.

5.3. From the time specified in clause 5.2, the User is entitled to use the AegisVPN software product through their personal Account.

6. TERMINATION OF LICENSE

6.1. The User may refuse the License at any time during the term of the Agreement. The licensing fee paid according to the Pricing is non-refundable. In this case, the termination date of the Agreement is considered to be the expiration date of the paid License.

6.2. If the User does not contact the Operator in writing at the addresses specified on the website https://aegisvpn.me/ with a proposal to terminate the Agreement, the Agreement is considered valid until its termination by mutual consent of the Parties.

6.3. The Operator has the right to limit the User's right to use the AegisVPN software product in the ways specified in the License if there are facts of fraudulent use of the AegisVPN software, namely:

a) The use of the AegisVPN software by the User for the purpose of violating the legislation of the Russian Federation or the legislation of other countries;

b) The transfer of individual access keys, including authentication data for accessing the personal Account on the website, to third parties (except for the User's close relatives);

c) Exceeding the quota of 500 gigabytes of traffic used within the AegisVPN software product over 30 days. If this threshold is exceeded, the right to use the AegisVPN software product will be automatically suspended. In this case, the User may contact the Operator using any available communication channels and request an increase in the traffic limit. The Operator is obliged, in response to such a request from the User, to increase the traffic limit to 1 terabyte for the User for the term of the current paid License no more than once every 30 days.

7. LIABILITY OF THE PARTIES

7.1. The User agrees not to use the AegisVPN software product for sending spam, port scanning, proxy usage, conducting mass mailings (even if the emails are actually sent through another server), or carrying out hacking attacks on other computers or networks.

7.2. Coverage area, internet speed, and connection quality when using the AegisVPN software product may vary. The Operator agrees to do everything possible to ensure that the use of the AegisVPN software product is available at all times (except for maintenance and repair breaks). The use of the AegisVPN software product under the paid License may be unavailable due to factors beyond the Operator's control, including emergencies, network issues or restrictions, interference, signal interruption, or disruptions in other services.

7.3. The Operator is not responsible for the loss of data and messages, incorrect page rendering due to network issues (e.g., on a T-1 line). To protect Users, the Operator may unilaterally impose restrictions on the use of certain data and block customer service. Network speed is a nominal estimated characteristic, and it does not reflect the actual speed of sending and receiving data. The actual network speed depends on its configuration, data compression methods, network load, and other factors. The Operator does not guarantee the timeliness of data reception and is not responsible for any delays or losses.

1. GENERAL PROVISIONS

This document (hereinafter referred to as the Policy) defines the goals and general principles of personal data processing, as well as the measures implemented for the protection of personal data by the Operator. The Policy is a publicly accessible document of the Operator and provides the possibility for any individual to familiarize themselves with it. The Policy is effective indefinitely after approval and until it is replaced by a new version. The Policy uses terms and definitions in accordance with their meanings as defined in the Federal Law No. 152-FZ 'On Personal Data'.

Personal data processing by the Operator is carried out in accordance with the principles and conditions set forth in this Policy and the legislation of the Russian Federation in the field of personal data.

2. Legal Grounds for Personal Data Processing

Personal data is processed by the Operator on a lawful and fair basis, in accordance with the following documents:

Constitution of the Russian Federation;
Labor Code of the Russian Federation;
Civil Code of the Russian Federation;
Tax Code of the Russian Federation;
Federal Law No. 152-FZ of 27.07.2006 'On Personal Data';

3. Procedure and Conditions for Personal Data Processing

Personal data processing by the Operator is carried out in a mixed manner, i.e., both with and without the use of automated tools.

The following actions are carried out with personal data: collection, recording, systematization, accumulation, storage, clarification (updating, modification), extraction, use, transfer, provision, access, anonymization, blocking, deletion, and destruction of personal data.

During processing, accuracy, adequacy, and relevance of personal data with respect to the purposes of their processing are ensured. If inaccurate or incomplete personal data is detected, it will be updated.

Obtaining and processing personal data in cases provided for by Federal Law No. 152-FZ is carried out by the Operator with the written consent of the personal data subject. Consent in the form of a paper document signed by the personal data subject's handwritten signature is considered equivalent to consent in the form of an electronic document signed with a qualified electronic signature.

Consent for the processing of personal data may be given by the personal data subject or their representative in any form that allows confirming the fact of its receipt, unless otherwise provided by Federal Law No. 152-FZ.

The Operator does not process special categories of personal data, including those related to racial, national origin, political views, religious or philosophical beliefs, or intimate life.

Information characterizing a person's physiological features and which can be used to identify them (biometric personal data) may only be processed with the written consent of the personal data subject.

Personal data processing and storage are carried out for no longer than necessary to achieve the purposes of processing personal data, unless there are legal grounds for further processing.

Personal data processing based on agreements and other arrangements with the Operator, orders to the Operator, and orders for personal data processing is carried out in accordance with the terms of these agreements, arrangements, and orders. The aforementioned documents may specify, in particular:

the purposes, conditions, and terms of personal data processing;
the obligations of the parties, including measures to ensure the security of personal data;
the rights, obligations, and responsibilities of the parties regarding the processing of personal data.

In cases not explicitly provided by current legislation or agreement, processing is carried out after obtaining the consent of the personal data subject. Consent may be expressed by performing actions, accepting the terms of an offer agreement, marking the appropriate checkboxes, filling out fields in forms, blanks, or in writing in accordance with the legislation.

The Operator takes necessary legal, organizational, and technical measures to ensure the security of personal data, protect them from unauthorized (including accidental) access, destruction, alteration, blocking of access, and other unauthorized actions. These measures include, in particular:

appointment of employees responsible for organizing processing and ensuring the security of personal data;
checking the availability of confidentiality clauses in contracts and including them in contracts when necessary;
issuing local regulations on personal data processing, familiarizing employees with them, and training users;
ensuring physical security of premises and processing equipment, access control, security, video surveillance;
limiting and restricting access to personal data and processing tools by employees and other persons, monitoring actions with personal data;
identifying security threats to personal data during processing, forming threat models based on them;
using security tools (antivirus software, firewalls, unauthorized access protection tools, cryptographic protection tools), including those that have passed the conformity assessment procedure in the prescribed manner;
tracking and storing information carriers to prevent theft, substitution, unauthorized copying, and destruction;
backup of information for recovery purposes;
internal control over compliance with the established order, checking the effectiveness of adopted measures, responding to incidents.

4. Rights of Personal Data Subjects

The data subject has the right to withdraw consent to the processing of personal data by sending a corresponding request to the Operator by mail or contacting them in person.

The data subject has the right to receive information concerning the processing of their personal data, including the following details:

confirmation of the fact of personal data processing by the Operator;
the legal grounds and purposes of personal data processing;
the purposes and methods of personal data processing used by the Operator;
the name and location of the Operator, information about individuals (except employees/workers of the Operator) who have access to personal data or to whom personal data may be disclosed under a contract with the Operator or under federal law;
personal data processed relating to the respective data subject, the source of their acquisition, unless otherwise specified by federal law;
the terms of personal data processing, including retention periods;
the procedure for exercising the rights of the data subject as provided by the Federal Law 'On Personal Data';
information on actual or proposed cross-border data transfers;
the name or surname, first name, patronymic, and address of the person who processes personal data on behalf of the Operator, if the processing is or will be entrusted to such a person;
other information provided by the Federal Law 'On Personal Data' or other federal laws.

The data subject has the right to demand that the Operator clarify, block, or destroy their personal data if the data is incomplete, outdated, inaccurate, unlawfully obtained, or not necessary for the stated processing purpose, as well as to take legal measures to protect their rights.

If the data subject believes that the Operator is processing their personal data in violation of the Federal Law 'On Personal Data' or otherwise infringing their rights and freedoms, the data subject has the right to appeal the actions or inaction of the Operator to the authorized body for the protection of personal data subjects' rights (Federal Service for Supervision of Communications, Information Technologies and Mass Media - Roskomnadzor) or through judicial proceedings.

The data subject has the right to protect their rights and legitimate interests, including compensation for damages and/or moral harm in court.

5. Rights and Duties of the Operator

The rights and duties of the Operator are defined by the current legislation and the agreements of the Operator.

Compliance with the requirements of this Policy is monitored by the person responsible for organizing the processing of personal data.

The responsibility of individuals involved in the processing of personal data on the basis of instructions from the Operator for improper use of personal data is established in accordance with the terms of the civil law contract or the Information Confidentiality Agreement concluded between the Operator and the counterparty.

Persons guilty of violating the rules governing the processing and protection of personal data shall bear material, disciplinary, administrative, civil or criminal liability in accordance with the procedures established by federal laws, local regulations, and agreements of the Operator.

The personal data processing policy is developed by the person responsible for organizing the processing of personal data and enters into force after approval by the Operator's management. Suggestions and comments for amendments to the Policy should be sent to support@aegisvpn.me. The Policy is reviewed annually to keep it up to date and updated as necessary.

Agreement on joining the recurrent payment system

This Agreement (hereinafter referred to as the 'Agreement') is concluded between the Individual Entrepreneur (hereinafter referred to as the 'Service Provider') and any legally capable individual (hereinafter referred to as the 'Client') entering into a public offer (hereinafter referred to as the 'Contract') through the use of the Service Provider's website https://aegisvpn.me/, intending to use the service to pay the next installment of the service fee under the Contract via automatic deduction of funds from the Client's bank card provided by the Client at the time of payment under the Contract.

Placing an Order constitutes the Client's full and unconditional agreement to all the terms of this Agreement. This Agreement is an adhesion contract within the meaning of Article 428 of the Civil Code of the Russian Federation.

By clicking the 'Pay' button, the Client confirms that they have read the terms of this Agreement, understood all its provisions, and agree to consider all provisions of this Agreement legally binding.

1. TERMS AND DEFINITIONS

1. For the purposes of this Agreement, the following terms are used in the following meanings:

1.1. Agreement — this document, published on the website https://aegisvpn.me/.

1.2. Client — a fully capable individual who has entered into a public offer with the Executor.

1.3. Website — an online resource containing full and up-to-date information about the volume and content of the services provided by the Executor, located at https://aegisvpn.me/.

1.4. Contract — public offer posted on the Website.

1.5. 'Recurring Payment' Service — a service that allows the Executor to receive automatic transfers of funds from the Client's Bank Cards.

1.6. Bank — a credit organization that issues Bank Cards in the territory of the Russian Federation in accordance with the legislation of the Russian Federation and based on agreements concluded between the Bank and the Client.

1.7. Bank Card — a debit or credit card issued by a credit organization, which is a tool for cashless transactions, intended for the Client's operations with funds held by the Bank in the Client's bank accounts or with funds provided by the Bank as credit to the Client, in accordance with the legislation of the Russian Federation, as well as a bank account agreement, or within an established limit, in accordance with the terms of the credit agreement between the Bank and the Client. Such a debit or credit card can be used to pay for the Executor's Services. Payment for the Executor's Services under this Agreement is possible with Bank Cards registered in accordance with the current legislation of the Russian Federation.

1.8. Bank Client — an individual who has entered into a bank account agreement with the Bank.

1.9. Processing Center — an automated system for processing card transactions in e-commerce, providing the ability to accept payments via Bank Cards. The Processing Center coordinates payments between the issuing bank, the acquiring bank (which authorizes transactions), the 'Recurring Payment' Service, and the Client of the Bank Card.

1.10. Personal Data — any information directly or indirectly related to an identified or identifiable individual (data subject).

2. SUBJECT OF THE AGREEMENT

2.1. The 'Recurring Payment' Service allows the Client to pay for the Executor's Services under the Agreement through the automatic withdrawal of funds from the Client's Bank Card in favor of the Executor, in the manner and on the terms agreed upon in the Agreement.

2.2. After activating the 'Recurring Payment' Service, funds will be transferred from the Client's Bank Card in amounts necessary to properly fulfill the Client's obligations under the Agreement.

2.3. All payments made using the Bank Card, as stipulated in this Agreement, are conducted in Russian Rubles (RUB).

2.4. An additional fee for using the 'Recurring Payment' Service, including for its activation/deactivation, is not charged.

2.5. The activation (connection) of the 'Recurring Payment' Service involves the Client performing the following actions:

2.5.1. The Client subscribes to the Executor's Services on the Website by selecting the services they are interested in from the list and providing their Personal Data.

2.5.2. After clicking the 'Pay' button, the Client confirms the accuracy of the provided data and expresses their agreement with the terms of the Agreement and this Agreement.

2.5.3. After performing the actions specified in clause 2.5.2 of this Agreement, the Client is redirected to one of the services %} LLC NKO 'Yoomani' (https://yookassa.ru), LLC 'CLOUDPAYMENTS' (https://cloudpayments.ru), JSC 'Tinkoff Bank' (https://tinkoff.ru), depending on the selected payment method.

2.5.4. Here, the Client fills in the requested Bank Card details to make the payment and completes the payment.

2.5.5. After the successful payment for Services with a Bank Card and agreeing to this Agreement, the 'Recurrent Payment' Service is considered activated (connected), and the Service Provider obtains the right to automatically deduct funds from the Client's Bank Card to fulfill the obligations under the Agreement.

2.6. Performing the actions specified in clause 2.5. of this Agreement means the Client's consent to pay for the services under the Agreement and to transfer the Client's identifying Personal Data to the Bank.

3. PROCEDURE FOR USING THE SERVICE

3.1. After connecting the 'Recurrent Payment' Service as specified in clause 2.5 of the Agreement, no earlier than 3 days and no later than 15 minutes before the end of the current paid period under the Agreement, funds will be transferred from the Client's Bank Card in amounts and within periods necessary to properly fulfill the Client's obligations under the Agreement.

3.2. The actual deduction of funds is carried out by the issuing Bank.

3.3. The Service Provider does not store or process the Client's Bank Card data, only making requests to the Processing Center and the Bank for reprocessing the transaction with the Bank Card.

3.4. Under no circumstances does the Service Provider guarantee the possibility of processing transactions with the Bank Card, leaving the resolution of such issues to the issuing Bank.

3.5. The Client guarantees that they are the holder of the Bank Card, and that they knowingly, correctly, and fully enter all required details of the Bank Card when activating (connecting) the 'Recurrent Payment' Service.

3.6. Connecting the 'Recurrent Payment' Service as provided in this Agreement is only possible if the Service Provider, Processing Center, Bank, and Issuing Bank have the technical capability. The Service Provider, Processing Center, and Bank are not responsible for the inability to connect the 'Recurrent Payment' Service.

3.7. Disconnecting (cancelling) the Client from the 'Recurrent Payment' Service occurs by selecting the relevant setting in the 'Cancel Subscription' section on the Service Provider's website https://aegisvpn.me/ or by sending a written request to the email address support@aegisvpn.me to cancel recurrent payments. Disconnecting the Bank Card from the 'Recurrent Payment' Service will occur within 48 hours of receiving the request from the Service Provider.

3.8. If there are insufficient funds on the Bank Card account for making the next payment under the Agreement, the Contractor has the right to repeat the charge request from the Bank Card.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. The Contractor has the right to refuse the Client, without explanation, the possibility of activating (connecting) the 'Recurring Payment' Service for the Client to make subsequent payments under the Agreement.

4.2. The Contractor has the right to make changes to this Agreement at any time at their discretion. Such changes come into effect from the moment the modified text of the Agreement is posted on the Site, unless otherwise specified in the publication. If the Client disagrees with the changes made to the Agreement, the Client has the right to terminate the Agreement in the manner specified in this Agreement. The Client is considered to have agreed to the changes and additions made to the Agreement if, within 10 (Ten) days from the publication of the Agreement, they have not contacted the Contractor with a proposal to terminate the Agreement.

4.3. The Contractor is not responsible for the temporary malfunction of the 'Recurring Payment' Service for reasons beyond their control. In this case, the Client shall use other methods of making payments for the next payment under the Agreement, as agreed with the Contractor.

4.4. In case of loss/replacement of the Client's Bank Card, the Client must notify the Contractor in writing within 3 days from the date of loss/replacement to exclude the details of the lost payment Bank Card and/or provide the details of the new Bank Card. The statement received by the Contractor from the Client regarding the loss of the Bank Card serves as the basis for suspending operations on the lost Bank Card.

4.5. The Client agrees to use only the Bank Card of which they are the owner, and in respect of which there is an agreement between the Bank and the Client. If the Client intentionally uses a Bank Card belonging to another person, they shall be solely responsible for any damage that has been or may be caused to the owner of the card as a result of the Client's actions mentioned above.

4.6. The Contractor has the right to refuse the Client the use of the 'Recurring Payment' Service to pay for services under the Agreement if the system reports the inability to charge funds from the Client's Bank Card.

4.7. Neither Party shall be held responsible for the complete or partial non-performance of any of its obligations under this Agreement, if the non-performance is the result of force majeure circumstances. The Party for whom performance becomes impossible due to such circumstances must immediately notify the other Party in writing about the occurrence, estimated duration, and cessation of the aforementioned circumstances. Failure to notify or untimely notification deprives the Party of the right to refer to any of the aforementioned circumstances as a basis for exemption from liability for non-performance of obligations.

5. TERM OF AGREEMENT. DISPUTE RESOLUTION PROCEDURE

5.1. If, upon expiration of the Agreement, the Parties have not expressed an intention to terminate or amend its terms, this Agreement shall automatically be extended under the same conditions for the duration of the Agreement.

5.2. This Agreement may be terminated at the initiative of either Party for reasons provided by the applicable legislation of the Russian Federation.

5.3. The Contractor may unilaterally terminate this Agreement in case of violation by the Client of the terms of this Agreement, by notifying the Client no later than 5 calendar days before the intended termination date.

5.4. Disputes between the Parties arising in connection with the performance of the terms of this Agreement shall be resolved through mutual consultations and negotiations.

5.5. If no agreement is reached during the negotiations specified in item 5.4 of the Agreement, the interested Party shall send a written claim, signed by an authorized person, with supporting documents for the claims made by the interested Party (if they are not available to the other Party), and documents confirming the authority of the person signing the claim.

5.6. The Party receiving the claim must consider the claim and notify the interested Party in writing of the results within 10 (ten) business days from the date of receipt of the claim.

5.7. If the dispute is not resolved through the claims procedure established in this section of the Agreement, and if no response is received to the claim within the period specified in item 5.6 of the Agreement, the dispute shall be submitted to the Arbitration Court of the city of Moscow.

6. DETAILS

6.1. The Client's details are contained in the Order form filled out on the Website.

6.2. In case of any changes in the Client's details, the Client is obligated to notify the Contractor of such changes in writing by email at support@aegisvpn.me. If not, the obligations under the Agreement will be considered fulfilled by the Party that failed to notify in the proper manner.
